WHEREAS, Unique Interaction Asia is a call center service;
WHEREAS, Lessee wishes to lease some seats/stations only and/or seats plus agents from a call
center Lessee, subject to the terms and condition hereof;

NOW THEREFORE, THE PARTIES AGREE:

SERVICE DESCRIPTION

Unique Interaction Asia shall provide the following Call Center Services to and for Lessee on a
non-exclusive basis:provide a call station complete with a computer and a phone/headset
provide a working environment complete with air conditioning and adequate lighting
Access to IP webcam
guarantee security in your building for our employees
PBX, ACD, IVR and Music on hold
Predictive dialer
All telephony charges, Unlimited to main land USA
One nine hour time slot is dedicated for lease, 8 hours of calling and a one hour lunch break

Payment Terms

Option #1
clients that wish to pay monthly will be billed at a flat rate of $325.00 USD per agent per month. If paid
in cash or back to back wire accepted on the 30th if paid in check must be giving three days clearing
before the end of the month.

Option #2
clients that are wish to paying every two weeks will be billed $340.00 USD per agents per month. Client must provide one check three days before the 15th of the month and one check three days before the
end of the month.

Option #3
clients that wish to pay weekly billing will be billed $350.00 USD per agent per month but on weekly bases in stead of a monthly. Client must provide four post dated checks to be dated for three days
before the end of the month.

Option #4
clients that are paying $250.00 USD per month are still able to pay weekly as long as they are submitting 4 post dated checks on the end of the month. Client will have to provide there on VOIP communications charges and it is strongly suggested that they have a back up provider incase of temporarily down time
on there communications. Unique Interaction is not liable for VOIP communications down time and the client will not be able to use Unique Interactions VOIP communications.

Admin stations
a place you’re your admin can be provide that they have there own laptop with Wire less internet. This is just a work space, power and internet will only be provided. Cost per stations $40.00 dollars per moth, paid in full not weekly or monthly.The client may wish to choose any option they may like each and every month which is suitable for them.

Agents in Training
if you have agents in training and you wish them to make test calls, this is not aloud is going to use a stations in the operations area, mock calls my be maid use the phone system but
only in the conference room.

LEASE AMOUNT
Each seat leased shall be charged at (US$ amount to be collated above) the leaser under stands
that the US$400.00 is a no refundable and can not be used for any other services
that Unique Interaction offers other then seat leasing.

Late Payment
The client under stand that is they pay late the next following month if they wish to renew there contract that they will be billed an additional 5% processing fee.

Start time
Both parties shall agree on a start time and once agreed on that start time shall be the day the lease
and campaign shall start, not the date the contract is signed. Lease under stands once time slot is
set it can not be changed until the following month.

Contract period
Shall stay in full force for 30 days.

Distraction of property

The client understands that they are responsible for all hardware provided by Unique Interaction,
headset, dial pad, mouse, keyboard and computer. Unique Interaction will provide a full an instigation in order to insure that they damage of property was done by one of the clients employees.

CARE OF PREMISES

Lessee shall take all reasonable care for the leased facilities and premises. Any damage, save for ordinary wear and tear, by deliberate acts or by negligence of Lessee or any of its agents and officers shall be for the account of the Lessee.

CONFIDENTIALITY

Lessee and Unique Interaction Asia, their employees or any other person acting in their behalf, shall neither disclose in any way to any third party to this transaction any Confidential Information obtained
from by a Party, or any of its officers and representatives, from the disclosing Party, nor use the said Confidential Information in any way directly or indirectly detrimental to the disclosing Party, or for any
other purpose other than for the provision of the service provided herein.This confidential information particularly includes any financial information, spreadsheets and/or reports, any proprietary tools, systems in the transmitted, soft or hard copy form and including any information that may be considered confidential including but not limited to any trade secrets but does not include any information:which
at the time of disclosure is in the public domain or which after such disclosure comes into the public domain through no fault of a party; or which was available on a non-confidential basis from a source
other than the disclosing party, provided that such source is not and was not bound by a confidentiality Undertaking with said disclosing party; or, the disclosure of which is required by law. Each of the parties shall ensure that its directors, employees and advisors and each other individual to whom the Confidential Material is disclosed adhere to the terms of this undertaking as if he or she were a party hereto.

NON-COMPETITION

Each party agrees not to seek, attempt to pirate, offer, solicit, or conduct programs for the clients of the other party, or accept any business by the said clients of the other party without the written consent
of that party for a period of three (3) years from date hereon unless they are already currently engaged in business with that client. In which case, the party who claims they are currently serving that client must present to the other party within twenty-four (24) hours an active contract evidence of an existing
business relationship.Each party warrants it has no conflict of interest with the other party or the
clients of the other party.

NON-PIRACY OF EMPLOYEES

Each of the parties agree not pirate, hire, offer to hire, or accept an offer of employment from any of the current officers and employees of the other party. An exception shall be when an officer or employee has been resigned from a party for a period of at least four (4) months before the effective date of
employment with the other party. This prohibition shall be effective for a period of two (2) years from the date of execution.

NO BINDING CLAUSE

Lessee shall have no authority to bind Unique Interaction Asia by any promise or representation unless specifically authorized in writing by Unique Interaction Asia in any particular transaction.

TERMINATION OF AGREEMENT

This Agreement shall become effective upon signing by the parties and shall remain in full force for one month or until such time this agreement is terminated by either party for whatever cause.This Agreement can be terminated by either party with or without cause upon 30-day prior written notice to the other. Upon mutual agreement, both parties may renew this Agreement on terms mutually acceptable.

Further, both parties at any time may terminate unilaterally this Agreement in case either one’s failure to comply with any of its undertaking herein or with any of the material condition of this Agreement. All accrued monetary obligations of the parties under this proposed Agreement as of the date of termination shall be based on just cause.

Notwithstanding the termination of this Agreement, the parties agree that the clauses on confidentiality, non-competition, and non-piracy shall survive and shall be effective for a period of three (3) years after
the effective date of termination.
